Articles of Incorporation


Upon a resolution of the Board of Directors of the Kentucky Lumber and Building Material Dealers Association, a corporation existing under the laws of the Commonwealth of Kentucky, these Amended and Restated Articles of Incorporation were adopted by the Association upon majority vote of the membership at the annual meeting of the Association held February 6, 1996.

ARTICLE I. THE NAME of the Association shall be the Kentucky Lumber and Building Material Dealers Association, Inc.

ARTICLE II. THE PURPOSES which the Association is authorized to pursue shall be:

to involve retail dealers of lumber and building materials, together with those others in the industry who provide materials, products, or services to retail dealers in the regular conduct of their respective businesses, in furtherance of these purposes;

to promote the general welfare of the lumber and building material industry throughout the Commonwealth of Kentucky;

to represent, inform, and assist the membership in legislative and regulatory matters, at both state and national levels, which relate to the conduct and well being of the lumber and building materials industry;

to advocate and support constructive legislation for our industry;

to serve as a catalyst for the exchange of ideas between independent business people with common needs, interests, and objectives through periodic meetings;

to promote high standards of service and business ethics among those companies and persons involved in the lumber and building materials industry;

to develop and provide training and educational programs tailored to meet the current needs of the membership; and

to cooperate and participate with other state, regional, and national associations sharing common purposes with the Association.
These Amended and Restated Articles of Incorporation correctly set forth the Articles of Incorporation of the Association as amended and restated; have been duly adopted as required by law; and supercede the original articles of incorporation, including any previous amendments thereto.

The undersigned, who are officers of the Kentucky Lumber and Building Material Dealers Association, Inc., hereby certify that on February 6, 1996, at a regular meeting of the Association, at which a legal quorum was present, the foregoing Amended and Restated Articles of Incorporation were adopted by majority vote.
